Tangent21 Terms of Service

We're glad you've decided to join the Tangent21 Community. As a Member you'll be able to participate fully in Tangent21; on the message boards, in the chatrooms, in our regular competitions, hosted chats, games and votes (we refer to this as the "Service"). You'll have the opportunity to shape the site itself, suggesting and supporting new forums for the shows and subjects you want to see covered. Over time you may choose to help out by becoming an Adept - a volunteer forum host - one of a group of three responsible for a specific forum (and chatroom.) You may even choose to attend one of our official or member-organised real-life meets. We hope you'll think of Tangent21 as a community in the full sense of the word.

Take a few minutes to look over these Terms of Service (from now on the "TOS"); this is an agreement between you and Tangent21. The TOS set out the services we will provide, the limitations on these services and the things we expect from you in return for these services.

1. Acceptance of Terms

Tangent21 ("the Site", "We", "Us", "T21") provides its services, including but not limited to the Tangent21 Discussion Community and/or the Tangent21 Chatroom(s), (the "Service") to you free of charge subject to the following TOS. Although we will endeavour to let you know about any significant changes to the TOS, you are responsible for regularly reviewing the most current version which can be found at any time at http://www.tangent21.com/pages/about/tos/.

Since the TOS may be modified from time to time without notice, BY REGISTERING FOR A MEMBER ACCOUNT AT Tangent21, LOGGING IN TO Tangent21 (OR USING TANGENT21 WHILE LOGGED IN) OR ENTERING THE TANGENT21 CHAT ROOM YOU ARE INDICATING YOUR AGREEMENT TO BE BOUND BY THE TOS.

If you do not agree to any changes that we make to the TOS as they may occur, please arrange to have your Member Account deleted immediately by emailing admins@Tangent21.com and discontinue your use of the Service.Your continued use of the Service will signify your agreement to be bound by any change in the conditions set forth herein.

2. Additional Rules and Guidelines

Certain parts of the Service may be governed by Additional Rules and Guidelines ("Additional Rules"). When using services governed by these Additional Rules you and Tangent21 shall be bound by these Additional Rules. The Additional Rules are hereby incorporated by reference into the TOS. In the event that such Additional Rules conflict with those outlined here, these shall control.

3. Provision of a valid Email Address

When you register for a Member Account at Tangent21 you will be required to provide Us with a valid email address. You agree to ensure that Tangent21 has a valid email address by which to contact you while you have a Member Account. You agree that if your email address changes or your old address becomes invalid for any reason you will IMMEDIATELY use the form at http://www.tangent21.com/user-config.php to supply a new email address.

Tangent21 reserves the right to terminate your Member Account and/or your access to the Service if we learn that your email address is, or has become, invalid.

You agree that Tangent21 may use the email address you provide to contact you in accordance with our Privacy Policy Statement. You will not be sent any commercial mailings without your prior consent or request.

5. Modifications of the TOS

We reserve the right to modify the TOS at any time, and from time to time, at Our sole discretion. Each time you log in to Tangent21 or use the Site while logged in, you will be deemed to have accepted any such modifications. We further reserve the right, at Our sole discretion, to notify you of such changes using the email address you provide us.

6. Termination

We reserve the right, at Our sole discretion and at any time, with or without notice, to suspend or terminate your Member Account (or any part thereof) and/or your access to the Service (or any part thereof) if We believe that you have acted inconsistently with the letter or spirit of the TOS.

We reserve the right, at Our sole discretion at any time or from time to time, with or without notice, to discontinue providing the Service, or any part thereof, or to modify the Service, or any part thereof, permanently or temporarily.

You agree that Tangent21 shall not be liable to you or any third-party for any termination or suspension of your Member Account or your access to the Service.

7. Your Member Account and Password

You may have 1 (one) Member Account at any one time. Having more than one Member Account may lead to the termination of all of them.

After registering for a Member Account you will recieve an email containing your Password. You are responsible for keeping your password confidential and secure. It's your responsibility to keep your Password and Member Account secure, therefore any unauthorised use of your account will also be your responsibility. You must tell us immediately about any unauthorised use of your Member Account or Password. At our sole discretion we may choose to be lenient if you notify us immediately about any such event.

8. Responsibility for Content

You understand and agree that the sole responsibility for all chatroom messages, posts, articles, fan fictions, reviews and all other files, images, data or information ("Content") lies with the person from which the Content originated. You understand and agree that this means that you, and not Tangent21, are entirely and solely responsible for all Content you submit to or make available via the Service. You alone are responsible for Content you submit, and any consequences arising from it.

Tangent21 reserves the right (but not the obligation) at Our sole discretion to refuse, delete, move, edit or otherwise transform or modify any Content submitted or made available via the Service. Further, you agree to grant Tangent21 and its affiliates a royalty-free, perpetual, irrevocable, non-exclusive right (including any moral rights) and licence to use, republish, store, archive, translate, publish, adapt, create derivative works from, perform and display to the public any Content submitted to or made available via the Service. You agree to grant the users of Tangent21 the right to download, copy, print, email and use any Content submitted to or made available via the Service, for personal, non-commercial use. You warrant that the holder of any Rights, including moral rights in such content has completely and effectively waived all such rights and validly and irrevocably granted to you the right to grant the licenses stated above. Subject to the foregoing, the owner of such content placed on Tangent21 retains any and all Rights that may exist in such content.

You agree that you must evaluate and bear all risks associated with the use of any Content and that you may not rely on the accuracy, completeness, or usefulness of any Content created by or submitted to Tangent21, and that Content is not pre-screened by Tangent21. Advice received via Tangent21 should not be relied upon for personal, legal or financial decisions and you should consult an appropriate professional for specific advice tailored to your situation.

9. Member Conduct

You agree to read and adhere to the Member's Guide and any Additional Rules. Tangent21 reserves the right, at its sole discretion, to terminate or suspend your Member Account (or any part thereof) and/or your access to the Service (or any part thereof) if it believes that you have violated any part of the Member's Guide or any applicable Additional Rules or the spirit of the Member's Guide or any applicable Additional Rules.

As a condition of your use of the Service you represent and warrant to Tangent21 that you will not use the Service for any purpose illegal in the United Kingdom, the United States of America or your country of residence, or any purpose prohibited by the TOS; or for the planning of any such act. Further, as a condition of your use of the Service you agree that you will not use the Service in such a way as to interfere with the use or enjoyment of the Service by any other party.

You agree that you will not use the Service to:

Publish, post, upload, distribute or disseminate any inappropriate, profane, derogatory, defamatory, infringing, improper, obscene, indecent or unlawful topic, name, material or information.
Upload files that contain software or other material protected by intellectual property laws or by rights of privacy of publicity unless you own or control such rights or have received all necessary consents.
Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer.
Advertise any goods or services for any commercial purpose (without the explicit written consent of one of Tangent21's Administrators)
Offer to sell any goods or services for any commercial purpose (without the explicit written consent of one of the Tangent21's Administrators)
Conduct or forward chain letters or pyramid schemes.
Download for distribution in any manner any file posted by another user of a forum that you know, or reasonably should know, cannot be legally distributed in such manner.
Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
Falsify or delete any author attributions, legal or other proper notices, proprietary designations, labels of the origin, source of software or other material contained in a file that is uploaded.

We reserve the right to send you a warning via email, suspend or terminate your Member Account (or any part thereof) and/or your access to the Service (or any part thereof) and to edit or delete any Content you have submitted if We decide that your conduct or Content submitted by you is inappropriate as regards the TOS, the Member's Guide or the well-being of the Site and/or its members. In such cases your shall have the right to complain to Tangent21's Administrators at admins@tangent21.com who will review and, at their sole discretion, may reverse or amend the decision in whole or in part. This shall be your sole method of recourse.

You agree that in the event that your Member Account is suspended or terminated you will not attempt to register for a new one. Tangent21 reserves the right to take any action it deems neccesary, without notice to you, if it believes you are attempting, or have attempted, to register for more than one Member Account.

10. Notification of Any Possible Copyright Infringement

In the event that you believe that any Content published on Tangent21 may infringe upon your or another's copyright, please send detailed notice of such possible infringement via email to admin@tangent21.com

11. Forum and Choice of Law

This agreement is governed by the laws of England. You hereby consent to the exclusive jurisdiction and venue of courts in England in all disputes arising out of or relating to the use of this Web site and associated Services (including but not limited to the Chatroom). Use of this Web site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Tangent21 as a result of this agreement or use of this Web site. The performance of this agreement by Tangent21 is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of its right to comply with governmental, court and law enforcement requests or requirements relating to your use of this Web site or information provided to or gathered with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

12. Warranty and Limitation of Liability

Tangent21 MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, PRODUCTS, AND SERVICES CONTAINED ON THIS WEB SITE FOR ANY PURPOSE. ALL SUCH INFORMATION, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

Tangent21 HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE INFORMATION, PRODUCTS, AND SERVICES CONTAINED ON THIS WEB SITE, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

IN NO EVENT SHALL Tangent21 BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED

WITH THE USE OR PERFORMANCE OF THIS WEB SITE,

DUE TO THE FACT THAT CERTAIN JURISDICTIONS DO NOT PERMIT OR RECOGNIZE AN EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THIS WEB SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THIS WEB SITE.

13. Conclusion

This agreement constitutes the entire agreement between the user and Tangent21 with respect to this Web site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written with respect to this Web site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Fictitious names of companies, products, people, characters and/or data mentioned herein are not intended to represent any real individual, company, product or event. Any rights not expressly granted herein are reserved
